1. SERVICES PROVIDED

Daystar Distro delivers your release files and metadata to supported digital service providers ("DSPs") and related delivery partners. Supported outlets may change over time.

• We deliver release content, metadata, and artwork to selected DSPs
• We collect and process eligible royalties reported and paid by DSPs
• We provide account and support tooling related to release lifecycle management
• Royalty terms are determined by the plan active at release submission

2. PAYMENT AND FEES

Current Daystar plans and pricing are listed on public pages and checkout surfaces. As of this update:

• Nova: Single $5.99 (1-2 tracks), EP $12.99 (3-6 tracks), Album $19.99 (7-25 tracks)
• Orion: $29.99 per year founders pricing (regularly $39.99) for unlimited uploads while active
• Priority Delivery: Included on Orion, +$24.99 on Nova unless an active offer states otherwise

Nova is billed per release. Orion is billed annually and Orion benefits apply only while active. If Orion is not renewed, your music is not automatically removed and your account transitions to Nova terms at the end of the active Orion period.

Priority Delivery accelerates Daystar processing targets but does not guarantee exact live dates at all DSPs.

3. ROYALTIES

You retain ownership of your music. For releases submitted under Nova, you receive 80% of net royalties collected from DSPs. For releases submitted under an active Orion plan, you receive 100% of net royalties collected for those releases while Orion is active.

"Net royalties" means royalties actually received by Daystar after DSP and partner deductions, adjustments, taxes, chargebacks, withholding, and royalties removed for fraud, artificial streaming, invalid activity, or similar enforcement actions.

Royalties are paid quarterly, subject to a $25 minimum payout threshold and valid payout setup. Amounts below threshold roll to future payout periods.

You are responsible for providing accurate payment information and for any tax obligations related to your earnings.

4. RIGHTS AND OWNERSHIP

You represent and warrant that:

• You own or control all rights to the music you submit
• You have obtained all necessary permissions, licenses, and clearances
• Your music and metadata do not infringe third-party rights
• You have the authority to enter into this Agreement

You retain ownership of your master recordings and associated rights. This Agreement is non-exclusive.

You grant Daystar a limited, non-exclusive license to host, reproduce, transmit, and distribute submitted content as needed to perform this Agreement.

5. CONTENT REQUIREMENTS

Submitted content must meet Daystar and DSP requirements, including:

• Audio files must be in WAV or FLAC format, minimum 16-bit/44.1kHz
• Cover artwork must be at least 1000x1000 pixels (3000x3000 recommended) in JPG or PNG format
• Metadata must be accurate, complete, and rights-consistent
• Content must comply with platform policy and applicable law

We may reject, pause, or remove submissions that fail quality review, violate policy, or present legal/compliance risk. Refund eligibility is governed by Daystar refund terms.

6. DELIVERY TIMELINE

After successful submission and payment, Daystar typically begins final processing within 24-48 hours.

• Standard Delivery: Typically 7-14 business days to go live on selected DSPs
• Priority Delivery: Typically 3-5 business days to go live on selected DSPs
• Scheduled Releases: We target the release date you select during submission

Live timing can vary by DSP and cannot be guaranteed. For higher confidence on scheduled launches, submit 4-6 weeks before your target date.

7. TAKEDOWNS AND REMOVAL

You may request takedowns at any time. Typical takedown processing windows vary by DSP and are often 7-14 days.

We reserve the right to immediately remove your music if:

• We receive a valid rights or legal claim
• A DSP removes or blocks your release for policy reasons
• Your content violates this Agreement, Daystar terms, or law

Once removed, re-distribution may require a new submission, updated metadata, and applicable fees.

8. LIMITATION OF LIABILITY

To the extent permitted by law, Daystar's liability related to this Agreement is limited to the fees you paid for the affected release services. We are not liable for:

• Lost revenue from DSP behavior or policy actions
• Delays in platform processing or release go-live timing
• Changes in DSP rules, payout models, or enforcement systems
• Copyright claims or legal disputes related to your music
• Any indirect, consequential, or punitive damages

We provide our services "as is" without warranties of any kind, express or implied.

9. INDEMNIFICATION

You agree to indemnify and hold harmless Daystar Distro, Daystar LLC, and affiliates from claims, losses, and expenses arising from:

• Your breach of this Agreement
• Your violation of any third-party rights
• Your submitted content or metadata

10. TERMINATION

This Agreement remains in effect while your content is distributed through Daystar. Either party may terminate:

• You may terminate by requesting a takedown of your music
• We may terminate or suspend if you breach this Agreement or present legal/compliance risk

On termination, takedown workflows begin. Any eligible unpaid royalties are handled in a normal payout cycle under applicable thresholds and compliance checks.

11. PRIVACY AND DATA

We process personal and release data to operate services, including sharing required information with DSPs, payment providers, and operational vendors. Data handling is described in our Privacy Policy.

12. GOVERNING LAW

This Agreement is governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

13. CHANGES TO THIS AGREEMENT

We may update this Agreement periodically. Updated terms apply when posted. Continued use of Daystar after updates means you accept the revised terms.
